Responsibilities

  • Provide legal support and guidance on matters relating to corporate finance, treasury, and securities including drafting, reviewing, negotiating, consummating, and compliance with, credit agreements, equity and debt offerings, confidentiality agreements, and mergers and acquisitions.

  • Provide legal support and guidance for real estate matters including real estate lease agreements, real estate incentive packages, and real estate development projects.

  • Provide legal support and guidance on matters relating to public company matters including the preparation and review of the Company's corporate and disclosure reports, financial statements, securities filings (e.g., Form 10-Q, Form 8-K, and Form DEF 14A filings), and press releases.

  • Provide legal support and guidance on matters relating to corporate governance matters including management of corporate minute books and organizational documents (including articles of incorporation, bylaws, formation agreements, board committee charters, board corporate governance guidelines, foreign state qualifications, and good standing certificates).

  • Assist the General Counsel on Federal, state, and local government incentive packages, including tax credits, rebates, and programs supporting energy efficiency, renewable energy, and other initiatives.

  • Assist the General Counsel on matters relating to the Board of Directors including Board meetings, distribution of Board meeting presentation materials, and maintenance of online Board portal.

  • Provide legal support and guidance on compliance matters including implementation and administration of compliance policies (including the company’s insider trading policy) and compliance training related to corporate, securities, finance, and real estate matters.

  • Provide legal support and guidance for implementation, administration, and management of contract approval, execution, and management procedures, process, and systems related to corporate, securities, finance, and real estate matters.

  • Provide legal support and guidance on corporate, securities, finance, and real estate legal forms and templates database.

  • Provide legal support and guidance on matters relating to litigation, claims and disputes, and governmental investigations related to corporate, securities, finance, and real estate matters.

  • Assist the General Counsel on supervision and management of outside legal counsel related to corporate, securities, finance, and real estate matters.

  • Collaboratively work with the company’s finance and treasury team, investor relations team, human resources team, and government affairs team on transactions, compliance, and training related to corporate, securities, finance, and real estate matters.

  • Collaboratively work with company management and key internal stakeholders across the Company to support the business and operations.

Education and Experience

  • Bachelor's degree required.

  • Juris Doctor degree required.

  • Member in good standing of State Bar of Pennsylvania, or able to obtain out-of-state attorney in-house status in Pennsylvania.

  • Required 10 years total experience. 4 years of law firm or in-house experience required with general corporate, securities, and commercial transactions experience.

Travel

  • Overnight/North America Travel: 10-25%

​Working Conditions

  • Office Environment - Must be able to remain in a stationary position 50% of the time and occasionally move about inside the office to access file cabinets, office machinery, etc.Β  Required to have close visual acuity to perform an activity such as: preparing and analyzing data and figures; transcribing; viewing a computer terminal; extensive reading. May be required to exert up to 25 pounds of force occasionally to lift, carry, push, pull or otherwise move objects, including the human body.
