As Legal Counsel I, you'll provide legal advice on issues and business concerns to mitigate legal risks and develop solutions. You'll provide expert representation for us with respect to legal disputes and litigation. Additionally, you will prepare, review and negotiate a wide variety of contracts and agreements including government contracts, commercial contracts, international contracts, and various professional services, intellectual property, employment, and licensing related agreements. You will respond to questions concerning contract negotiation and administration with minimal supervision, develop and maintain relationships with employees/teams going direct to attorneys for counseling, and support senior legal personnel on large projects.
As SNC's corporate team, we provide the company and its business areas with strategic direction and business support spanning executive management, finance and accounting, operations, human resources, legal, IT, information security, facilities, marketing, and communications.
PRIMARY RESPONSIBILITIES INCLUDE:- Collaborate with Legal Team to develop and prepare strategic response to pre-litigation demands, including strategy, witness interviews, document review and response to administrative agency charges.
- Support employment and business litigation matters, including strategy, budget, discovery, drafting, and coordination with outside counsel.
- Provide practical counsel to Human Resources team on variety of employment law matters across multiple states, including hiring, performance management, leaves of absence, accommodations, and terminations. Β Β
- Stay up-to-date and advise Legal Team on legal, regulatory, and compliance developments relevant to government contractors, litigation, and employment laws.
- Support other functional business teams as needed, including Contracts, Procurement, Security, and other internal organizations.
- Support preparation, review, and negotiation of contracts for the Company, including prime contracts (US government and commercial), subcontracts, purchase orders, non-disclosure agreements, licensing agreements, teaming agreements, consultant and representative agreements, and similar contracts and agreements
- Assist in the development and improvement of legal processes
- Collaborate with the rest of the SNC in-house legal team, our outside counsel, and our internal clients to handle the varied legal questions that arise when you are part of a small in-house legal team
- Perform other duties as assigned
Qualifications You Must Have:
- Juris Doctorate from an ABA-accredited law school with at least 3 years of relevant experience in a respected law firm or as in-house counsel
- Admitted in good standing to practice law in at least one state
- Substantial corporate, commercial, and technology transactional experience Β and superior contract drafting and negotiating skills
- Experience and competence in corporate legal issues
- Ability to proactively identify and mitigate legal risk and develop workable business solutions, including developing training, policy, or process enhancements
- Excellent written and oral communication skills and the ability to motivate/work with others
- Self-starter with ability to organize projects/tasks and meet established deadlines
- Ability to work successfully in a highly collaborative, fast-paced environment
- Litigation and employment law experience
Qualifications We Prefer:
- Experience with intellectual property law, employment law, commercial/government contracting, corporate governance, regulatory compliance, mergers, acquisitions, and/or litigation.
- Experience with legal research, analysis, and writing
- Experience with legal research databases
- Self-starter and a problem solver; must have the ability to see the big picture and implement changes as required
- Transactional / contracting experience desireable
- Background in the Aerospace and Defense Industry, the US Department of Defense or US Military
