Position: General Counsel
Location: Wichita, KS
Reports To: Chief Executive Officer (CEO)
Position Overview:
A leading financial services firm is seeking a General Counsel to serve as its chief legal advisor, overseeing all legal matters related to financing, lending, and debt fund operations. This role will be responsible for ensuring regulatory compliance, mitigating legal risks, and providing strategic guidance on transactional and operational legal issues. The ideal candidate will have extensive experience in commercial lending, private credit, and fund structuring within the financial sector.
Key Responsibilities:
- Provide legal counsel on all aspects of financing transactions, including structuring, negotiating, and documenting loan agreements, credit facilities, and securitization deals.
- Oversee regulatory compliance, ensuring adherence to federal, state, and international lending laws and financial regulations.
- Advise on private credit and debt fund investments, including fund formation, investor agreements, and securities law compliance.
- Manage relationships with external counsel and regulatory bodies.
- Draft and review contracts, term sheets, intercreditor agreements, and other financing-related documents.
- Identify, assess, and mitigate legal and business risks associated with lending and investment operations.
- Lead corporate governance efforts, ensuring best practices for board management and fiduciary responsibilities.
- Support business development by providing legal insight into new financial products, partnerships, and investment opportunities.
- Advise on litigation matters, including borrower disputes, collections, and regulatory inquiries.
- Stay current on legal and market developments affecting financial services, lending, and private debt industries.
Qualifications & Experience:
- Juris Doctor (JD) from an accredited law school and active bar membership.
- Minimum of 5 years of experience in financial services law, with a strong background in commercial lending, structured finance, and fund management.
- In-depth knowledge of financial regulations, including SEC, OCC, FDIC, CFPB, and state-specific lending laws.
- Experience advising on fund structures, investor agreements, and securities compliance.
- Strong negotiation skills with the ability to manage complex transactions.
- Excellent leadership, communication, and strategic thinking abilities.
- Prior experience in an in-house legal role within a financial institution, private debt fund, or investment firm preferred.
