COVU is redefining the future of AI-driven insurance customer management and insurance agency roll-ups. As we expand, weโ€™re acquiring insurance agencies and structuring deals in a way that balances speed, risk management, and efficiency. To reduce dependency on expensive law firms, weโ€™re seeking a smart, resourceful, and experienced General Counsel to provide practical, business-savvy legal support for our acquisition strategy.

This is a part-time, flexible role (~15-20 hours/week), but we are open to full-time candidates if the fit is right.

Who You Are

  • A sharp and experienced M&A attorney who can figure things out independently.
  • Not someone who overcomplicates legal work, but rather keeps things practical and efficient.
  • Comfortable working in a fast-paced, startup-style environment with minimal bureaucracy.
  • Experienced in startup legal matters, including corporate governance, fundraising, cap tables, and investor relations.
  • Experienced in structuring deals, negotiating contracts, managing legal risks, and handling due diligence.
  • Familiar with insurance, financial services, or regulated industries (preferred but not required).

Key Responsibilities

  • Lead legal work on insurance agency acquisitions, including structuring deals, due diligence, and regulatory compliance.
  • Draft, review, and negotiate NDAs, LOIs, asset purchase agreements, employment contracts, and producer agreements.
  • Manage external legal costs, working with law firms only when necessary.
  • Advise on insurance licensing, regulatory filings, and compliance with state and federal laws (preferred but not mandatory).
  • Provide legal guidance on general corporate matters, including entity structuring, governance, investor relations, and fundraising.
  • Ensure smooth post-acquisition transitions, including legal liability management and licensing transfers.
  • Identify and mitigate legal risks while keeping transactions business-friendly.

What Weโ€™re Looking For

  • J.D. from an accredited law school + active U.S. bar membership.
  • 5-10+ years of experience in M&A, ideally with small-to-mid-sized business acquisitions.
  • Strong understanding of deal structuring, due diligence, and contract negotiation.
  • Experience in financial services or regulated industries (preferred but not mandatory).
  • Ability to think practicallyโ€”focusing on solutions rather than legal perfection.
  • Comfortable working independently in a lean, high-growth environment.
  • Experience with external law firm management and cost control.
  • Experience with startup legal issues, such as fundraising, venture capital, corporate structuring, and governance (preferred but not required).
  • Prior in-house experience (preferred but not required).
