The Deputy General Counsel will report directly to the General Counsel and will join a tight-knit team that currently includes one additional (junior) attorney and two compliance professionals. This attorneyâs primary area of focus will consist of negotiating and drafting a wide variety of sophisticated and complex contracts as detailed below as well as supporting additional diverse legal responsibilities and acting as a strategic partner to the business to drive business initiatives forward. The candidate should have comfort handling a wide range of responsibilities and working independently, as well as collaboratively. An ideal candidate will demonstrate strong organization, written and verbal communication skills, and exhibit sound judgment both in prioritizing various projects and knowing when to âmove forwardâ alone versus when to bring matters to the General Counsel.
Key Responsibilities
- Structure, draft, negotiate and review sophisticated and complex commercial contracts, including:
- Insurance payor agency agreements
- Marketing services agreements
- Business associate agreements
- Medicare regulatory addenda
- Data processing addenda
- Vendor agreements
- Software license agreements
- Strategic partnership and acquisition agreements
- Provide strategic legal counsel on:
- Commercial transactions
- Contract interpretation
- Risk assessment
- Data security and privacy issues
- Consumer protection
- Regulatory compliance
- Lead critical initiatives including:
- Management of outside counsel relationships
- Supervision of junior attorneys
- Development of scalable legal processes
- Implementation of legal technology solutions
- Support for strategic growth initiatives
- Collaborate with business stakeholders to understand their objectives and provide strategic legal advice to support their business initiatives.
- Manage outside counsel on various legal matters requiring additional support or expertise, including litigation, employment matters, real estate matters, etc.

QualificationsQualifications
- 8+ years of legal experience with extensive commercial contracting experience.
- Extensive experience drafting, negotiating, and reviewing complex commercial contracts, including specifically agency agreements with insurance payors.
- Prior experience at a top tier law firm and/or a large corporate legal department.
- Knowledge of laws, rules and regulations relating to:
- Marketing, sale and distribution of health and life insurance
- CMS rules and regulations regarding marketing and distribution of Medicare Advantage and prescription drug plans
- U.S. state and federal laws applicable to the business, including laws relating to telemarketing, consumer protection, privacy (CCPA/CPRA, HIPAA, GLBA), etc.
- Excellent academic credentials from an accredited law school.
- Experience supporting technology-enabled businesses.
- Demonstrated leadership abilities and experience managing legal teams.
- Outstanding references.
- Active law license in good standing.
