About the Role
As our Corporate Legal Counsel, you will serve as the backbone of our legal operations, ensuring compliance, mitigating risks, and providing expert counsel across all facets of corporate law. You will be instrumental in driving our corporate strategy, navigating complex legal landscapes, and facilitating key transactions to propel our company forward in our fast-paced, dynamic start-up environment.
What You'll Do
- Serve as the primary point of contact for all corporate legal inquiries, demonstrating expertise to address majority of queries in-house.
- Provide strategic legal advice and guidance to senior management on a wide range of corporate matters, including but not limited to regulatory compliance, corporate governance, and contractual agreements.
- Spearhead mergers and acquisitions, leveraging your expertise to facilitate seamless transactions and drive strategic growth initiatives.
- Collaborate closely with our corporate development team to identify and capitalize on strategic opportunities for expansion and partnership.
- Conduct thorough legal research and analysis to stay abreast of industry trends, regulatory changes, and emerging legal risks.
- Draft, review, and negotiate a variety of legal documents, ensuring accuracy, completeness, and compliance with applicable laws and regulations.
- Partner with external legal counsel as needed to support specialized legal matters and complex transactions.
Requirements
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in the California State Bar.
- 5+ years of progressive experience in corporate law, with a proven track record of success in a similar role.
- Strongly preferred experience in mergers and acquisitions, demonstrating proficiency in structuring and executing transactions.
- Prior experience in corporate development is strongly preferred, ideally within the investment banking or fintech sectors.
- Exceptional analytical skills and attention to detail, with the ability to assess legal risks and provide strategic recommendations.
- Excellent communication and interpersonal skills, with the ability to effectively collaborate with cross-functional teams and communicate complex legal concepts to non-legal stakeholders.
- Demonstrated ability to thrive in a fast-paced, dynamic environment, with a proactive and solution-oriented mindset.
- Full-time, on-site availability (5 days a week) in Irvine, CA required.
Nice to Haves
- Fintech or financial services experience is strongly preferred.
- Previous start-up experience is preferred.
Compensation
The salary range for this position is $175K-$230K (depending on experience).
