We are seeking an experienced Corporate Counsel to join our legal team at C.H. Guenther & Son, a global food manufacturing company headquartered in Texas. The ideal candidate will have extensive experience in contract drafting and review and will be responsible for overseeing a broad range of legal matters to ensure the company’s operations comply with all applicable laws and regulations. The Corporate Counsel will also provide legal guidance in areas such as risk management, commercial transactions, intellectual property, and regulatory compliance within the food industry.

Duties and Responsibilities:

  • Contract Drafting and Review:
    • Draft, review, negotiate, and manage a variety of contracts, including supply agreements, distribution agreements, vendor contracts, manufacturing agreements, confidentiality agreements, and purchase agreements.
  • Records Management:
    • Responsible for implementing and maintaining records management policies and processes across the organization.
  • Risk Management:
    • Provide proactive legal advice on risk management, intellectual property protection, and business operations to safeguard the company’s interests.
  • General Legal Support:
    • Provide legal support for various departments, including HR, operations, and marketing, with a focus on food industry legal matters.
  • Training and Education:
    • Conduct internal training and create educational resources for company employees on legal topics, including contract management and compliance.
  • Performs all other duties as assigned.

Minimum Job Requirements:

Education/Certifications and Experience:

  • Juris Doctor (JD) degree from an accredited law school.
  • Licensed to practice law in Texas.
  • A minimum of 5-8 years of relevant experience in a law firm or corporate law department, with a focus on contract drafting, review, and negotiation, ideally within the food manufacturing industry or related sectors.
  • Background in records management and contract management.
  • Familiarity with risk management strategies and corporate governance.

Knowledge, Skills, and Abilities:

  • Proficient use of a computer, Microsoft Office (Word, Excel, PowerPoint, OneNote), and other related applications or software.
  • Strong analytical, problem-solving, and decision-making skills.
  • Excellent written and verbal communication skills, with the ability to explain complex legal concepts clearly and concisely.
  • Ability to prioritize and manage multiple projects simultaneously in a fast-paced environment.
  • Ability to prioritize projects and clearly communicate direction internally and externally.

Supervisory Responsibilities:

  • N/A

Working Conditions and Physical Effort:

  • Typical work in an office environment.
  • Prolonged periods of sitting at a desk and working on a computer.
  • Must be able to lift up and carry 15 pounds at times.
  • Travel on an as-needed basis, which may vary depending on business requirements (10%).
