The Role
Join a collaborative team of legal professionals, where your contributions are crucial to the ambitious goals of our growing business. The Corporate Counsel will provide day to day legal support to the US business unit, working in partnership with the company’s key operational functions. Core responsibilities include drafting, reviewing and negotiating a variety of commercial contracts including broker/partner, supplier, technology, and confidentiality agreements, supporting corporate compliance and governance, serving as legal stakeholder on project teams, and legal research. What you’ll be doing:
- Review, draft and negotiate commercial contracts, including non-disclosure, vendor/supplier, software, consulting, broker, agency and partnership agreements.
- Collaborate with legal and compliance colleagues to respond to regulatory inquiries and prepare regulatory filings.
- Provide legal support, due diligence and advice regarding corporate transactions, including M&A and strategic partnerships.
- Assist with corporate governance activities including preparation of board resolutions, policies, procedures and internal governance documents, and training. Advise management on adherence to applicable laws and best practices.
- Conduct legal research and monitor legal and regulatory developments impacting the business, providing timely legal counsel and updates to various business areas.
- Maintain close working relationships with internal clients, working strategically and in collaboration with various business areas to resolve legal issues, provide solution-oriented guidance, and mitigate risk.
- Effectively manage corporate litigation and outside counsel.
- Serve on project teams representing the Corporate Legal team.
The Team:
This position is an integral role within the Corporate Legal team, reporting directly to the VP, Head of Corporate Legal.
Qualifications:
- Member of the bar of Georgia or another state with 2-5 years of commercial contracting and corporate transactional experience gained in a law firm or in house legal department.
- Corporate transactional experience, including M&A, gained in a law firm and/or in the insurance industry is a priority for this role.
- Experience negotiating commercial contracts, particularly supplier and insurance agency/broker agreements.
- Excellent written and verbal communication skills with ability to build strong cross functional relationships with internal clients.
- Excellent analytical skills and attention to detail.
- Ability to work independently and in a collaborative environment.
- Strong service focus and ability to interact with all levels of internal and external clients and partners.
- Superior business judgment, time management skills, and ability to manage and prioritize multiple matters and deadlines.

Please note that this position is hybrid and requires working in office a minimum of two (2) days per week. Position can be based in the following office locations:
