Corporate Counsel

JOB SUMMARY

The Corporate Counsel provides general legal guidance on a broad variety of corporate and compliance matters including regulatory, securities, employment, intellectual property, corporate governance, contracts, transactions, real estate, marketing, and litigation. This position reports to the General Counsel and is a hybrid position (working 2-3 days in office each week).

ESSENTIAL DUTIES & RESPONSIBILITIES

• Conducts legal research and drafts legal memoranda to the General Counsel and other organizational stakeholders
• Draft and review contracts, regulatory filings and other legal documents
• Works closely with functional partners on a range of issues including the annual report, proxy, and shareholder matters.
• Provide counsel on legislative and regulatory matters
• Prepares, reviews, and negotiates a variety of complex agreements including, but not limited to, consulting, intellectual property, commercial leases, and supplier-related agreements
• Assists in the administration of mergers, acquisitions, divestitures, and similar strategic transactions from the planning stages through integration
• Other duties as assigned

REQUIRED SKILLS & EXPERIENCE

• Transactional experience in a corporate or in-house capacity required
• Takes an organized and focused approach to work
• Manages projects with many and diverse stakeholders
• Demonstrates initiative and resourcefulness
• Communicates effectively with members throughout the organization as well as external counsel
• Possesses strong interpersonal skills
• Clear, concise oral and written communication skills
• Demonstrates excellent negotiation skills
• Proficient in Microsoft Office and applicable legal research programs
• Property and Casualty Insurance industry experience helpful, but not required

EDUCATION & TRAINING

• Juris Doctor (JD) required
• 2+ years’ experience in general law practice
• Member in good standing of the Florida Bar
