The Corporate Attorney is responsible for every phase of legal work including compliance, contract development including staying current on changes that affect the business to negotiating terms and preparing documents.Β  The Corporate Attorney will collaborate with Bosselman Board Members, Retail Division Heads, President or may work independently to evaluate and draft contract documents.

Responsibilities

  • Prepares contractual agreements using current research methods and a knowledge of client's needs and ability to fulfill its requirements.
  • Collaborates with a legal team consisting of Bosselman Board Members, Retail Division Heads, Executives, Stock Holders and other staff.
  • Assists clients to fulfill the terms of or to terminate contracts on mutually amicable terms.
  • Reviews contract terms and conditions to verify that they follow company policies and all applicable federal and state regulations.
  • Self-monitors progress according to the schedule of completion to submit drafts and documents in a timely manner.
  • Proofreads, edits, and fact-check legal documents for accuracy and consistency
  • Evaluates documents and/or incidents using practical and legal analysis to meet business objectives while maintaining compliance. Special attention should be used in document language and word choice, venue and/or choice of law, crafting documents, negotiating terms, implementing agreed upon terms, in-house, keeping a calendar of key dates including targets, internal cutoff dates, closing dates, defined deadlines and Notice dates.
  • Responds to investigations or requests for information from any local, state, or federal organization.
  • Develops company policies that are compliant with all laws and regulations and keep them current. Identifies and ensures company compliance with any legal duties.
  • Recognizes risky transactions.
  • Handles complex legal matters and projects.
  • Summarizes legal documents.
  • Explains documents to internal team members.
  • Manages business files and business calendar including pertinent deadlines.
  • Ensures business entity procedural compliance including required filings with local, state, and federal agencies.
  • Investigates all legal matters.
  • Guides employee compliance with any and all local, state and federal rules, regulations and laws including employment practices, workman’s compensation, civil rights matters, OSHA. unions, employee benefits analysis and management including 401K compliance, tax laws, immigration status and ability to work, payroll deductions,
  • Attends any mediations, hearings, and/or depositions related to legal matters of the business.

Qualifications

Education and/or Experience (include certs or licenses needed):

  • Bachelor's degree in a related field.
  • Juris Doctorate degree from an American Bar Association accredited law school.
  • Admission to the Nebraska Bar Asociation.
  • Commitment to abiding by local, state, and federal laws and behaving ethically.
  • Three to five years of legal experience, preferably working directly in business law.
  • Knowledge of current and legally-binding contractual language and terminology.
  • Experience in business real estate, zoning, subdivisions, plats, code compliance, banking, PCI compliance, debt management, financial guarantees, bankruptcy, collection, consumer and creditor rights, tax laws, business formation, trademarking, copywriting, franchises, estate planning, employment matters including compliance with rules and regulations pertaining to employees, customers, board members, stock owners, and transactional matters.

Minimum Qualifications:

  • Ability to draft, negotiate and interpret contracts.
  • Knowledge of local, state, and federal laws.
  • Knowledge of negotiation strategies and tactics, including the ability to apply appropriate strategies during negotiations.
  • Possess a general understanding of real estate including legal descriptions, title insurance, plat analysis, zoning, code compliance, inspections,
  • Understand permitting/licensing; ability to obtain and retain business permits and licenses, understand Weights and Measures, Underground Storage Tanks, etc. as they apply to Bosselman. Have a general understanding of environmental conditions, analysis, state and federal compliance, clean-up responsibilities, funding, and reimbursable expenses.
  • Understand banking laws, regulations, PCI compliance, creditor responsibilities.
  • Understands the process to obtain tobacco and liquor licenses, maintain compliance, assist with training requirements; attend violation hearings and city or county application meetings.
  • Ability to synthesize business terms and incorporate legal protections into a binding agreement.
  • Ability to understand the company's contractual relationships with customers, suppliers, and other parties.
  • Ability to determine and understand the company’s objectives and risk tolerance and to incorporate that information into business agreements and legal decisions.
  • Ability to devise legal solutions that reduce risk of non-compliance, financial liability, costs, and negative publicity.
  • Ability to conduct and analyze legal research to determine applicable legal principles.
  • High degree of professional ethics and integrity.
  • Knowledge of and ability to analyze effect of company policies on business activities.
  • Maintain professional demeanor and focus while dealing with confrontational parties and negotiations.
  • Strong critical thinking and excellent communication skills.
  • Clearly and concisely articulate ideas, opinions, and information, in spoken and written form.
  • Ability to work effectively and autonomously with minimum supervision.
