A Day in Your Life at MKS:

As an Associate Corporate Counsel in our Legal Department, you will serve as the key legal lead with oversight over the corporationโ€™s 100+ global subsidiaries with respect to corporate governance, subsidiary reorganizations, and global cash and debt management.ย You will play a key part in enabling the corporation to optimize its global corporate structure efficiently.ย  The position reports to the VP, Associate General Counselย & Assistant Secretary, also based in our Andover, MA office.

This role offers a hybrid work option for days remote and on-site at our Andover, MA office.

You Will Make an Impact By:

  • Providing legal advice and support to the Associate General Counsel

  • Taking a leadership role to drive the execution of corporate strategies, including intercompany subsidiary mergers, acquisitions, dispositions and liquidations, as well as cash repatriation (loans, dividends, cash pooling, etc.)

  • Providing legal advice on subsidiary corporate governance matters

  • Serving as the legal lead for the corporationโ€™s debt, including ensuring corporate compliance

  • Partnering and interface extensively with professionals across different functions within the organization, such as tax, treasury and finance

  • Drafting board and shareholder resolutions, intercompany loan agreements and other intercompany agreements

  • Managing global law firm partners to ensure efficient execution of corporate strategies

  • Providing support on banking and financing matters

  • Supporting M&A transactions

  • Supporting internal Legal team projectsย ย ย ย ย ย ย ย ย ย ย ย ย ย ย ย ย ย 


Skills You Bring:

  • A JD degree is required

  • A licensed member of at least one state bar

  • 5+ yearsโ€™ relevant corporate law experience

  • Experience with subsidiary corporate maintenance across a range of international jurisdictions

  • Experience in the following areas is highly desired: subsidiary formation, acquisition, merger, disposition and liquidation, capital contributions, intercompany lending, cash pooling, dividends and other distributions

  • Self starter, driven, agile

  • Strong drafting skills

  • Strong analytical skills and the ability to come up with practical solutions

  • Sound judgement and the ability to juggle multiple projects

  • Strong collaboration and communication skills to successfully work across business functions and geographies

  • Collegial team player with a positive attitude; willingness to learn and grow in a dynamic environment

Physical Demands and Working Conditions:

  • Perform activities such as sitting, standing, or typing for extended periods of time

  • Must be able to communicate information and ideas so others will understand

  • Must be able to exchange accurate information

  • Operates in a [professional office and/or laboratory/manufacturing] environment

  • Constantly operates a computer and other office productivity machinery

  • Ability to observe documents and details at close range (within a few feet of the observer)
