Harvard Medical Faculty Physicians at Beth Israel Deaconess Medical Center, Inc. (“HMFP”) is seeking an Assistant General Counsel to assist the General Counsel and Sr. Associate General Counsel in providing, acquiring, coordinating and monitoring certain legal services and legal compliance issues for the organization to ensure HMFP and its related organizations are protected through accurate legal advice to avoid losses in accordance with the mission, core values, and purposes of the organization.
 

The Assistant General Counsel must be highly independent, motivated, detail oriented, service-focused with the capacity to see the big picture. The Assistant General Counsel will work out of our Boston location in this hybrid position, 2 days in the office and as needed.


Primary Responsibilities Assistant General Counsel:

  • Drafts and approves extensive contracts in many subject areas including professional service arrangements, vendor agreements, employment contracts; loan agreements, service schedules, affiliate agreements, etc.

  • Applies knowledge of STARK, Anti-Kickback and other fraud and abuse requirements with respect to contracting and apply such guidance in drafting documents for the organization.

  • Provides legal research and written memorandums or other documents offering answers to clients on unique issues.

  • Serves as an organizational liaison with BIDMC and their counsel and investigators for purposes of negotiations, reviews or evaluations.

  • Assists in oversight and review of litigation efforts performed by outside legal counsel.

  • Provides legal advice, and guidance to officers, administrators, chief physicians and departmental leaders on legal matters relevant to the organization.

  • Serves on committees designated by General Counsel and Sr. Associate General Counsel.

  • Performs Human Resource/Employment Litigation investigations including witness interviews, document reviews. Provides written summaries and recommendations.

  • Performs Compliance investigations and partners with the Compliance office in investigations.  Will be responsible for witness interviews, document reviews and research of relevant compliance, regulatory and billing standards. Provides written recommendations and summaries.

  • Assists the General Counsel and Sr. Associate General Counsel in ensuring that the institution remains in compliance with appropriate state and federal regulatory laws and requirements, and systems policies and procedures.

  • Assists General Counsel and Sr. Associate General Counsel in providing oversight for completing and filing various reports for federal and/or state regulatory agencies.

  • Drafts, reviews and recommends approval of organizational policies and procedures, bylaws, resolutions, handbooks, minutes and other documents related to governance, regulatory compliance and business operations of the organization.

  • Analyzes a broad range of complex laws and regulations affecting the organization

  • Negotiates with outside parties on contractual issues and legal disputes, including settlement conferences.

  • Assists with educating staff in applicable laws and system policies and procedures.

  • Anticipates and mitigates potential legal problems within the organization and developing strategies to avoid costly litigation and reduce potential areas of risk.


Primary Responsibilities Contracts Administration

  • Advises, negotiates, manages and administers contracts into which HMFP may enter.

  • Reviews, redlines, drafts identified contracts

  • Oversees the accurate maintenance of all documents in the contract database and post execution data check

  • Serves as liaison for construction, review and conclusion of contract language.

  • Ensures contracts contain offer, acceptance and consideration confirming all elements required to be a legal, binding document are present.

  • Produces written documents containing complete and accurate terms and conditions of a business relationship that benefit the system by identifying, reducing, shifting or eliminating risk.

  • Participates in essential meetings. 

Requirements:
The Assistant General Counsel must satisfy the following minimum qualifications:                                                      
1.       Have a Juris Doctor degree from an accredited law school; and

2.       Have a minimum of 3 years of relevant contract management/contract drafting  experience; and

3.       Hold a current license to practice law in the jurisdiction or qualify via the in-house counsel exception under Massachusetts Bar requirements.

4.       Health care legal experience required.
