Vice President & General Counsel

Culver Franchising System, LLC is looking for a strategic, knowledgeable Vice President & General Counsel.  This position provides senior management with effective legal, business, corporate governance and public relations advice.  It oversees and manages the legal and risk management functions and engages with and oversees the work of outside legal counsel.  It is also responsible for protecting and promoting the company’s and the industry’s interests with respect to governmental affairs.

Essential Responsibilities:

• Review and counsel on the development and enforcement of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters
• Oversee the Risk Management Department and review risk management program and assess exposure
• Establish corporate policy on contracts, and review, conduct final negotiations and approve all material contracts on behalf of the company
• Select, engage, manage and evaluate all outside legal counsel
• Judge the merits of all legal disputes and court cases filed against or on behalf of the company, work with the appropriate team member and/or outside counsel to define a litigation strategy and advise and approve the disposition of cases
• Assume ultimate responsibility for ensuring that the company and its related companies conduct their businesses in compliance with applicable laws and regulations
• Oversee all corporate business and real estate transactions
• Review and approve all franchisees’ real estate leases
• Revise and oversee the annual filing of an updated Franchise Disclosure Document (FDD)
• Maintain and protect the company’s trademarks 
• Active involvement in governmental affairs, including involvement with the International Franchise Association (IFA), National Restaurant Association, and Wisconsin Restaurant Association
• Oversee corporate governance and record keeping for the company and related companies

Required Qualifications: 

• Possess a Law degree.
•  Member of the Wisconsin State Bar or to another State Bar along with being registered as in-house counsel in the State of Wisconsin. 
• 10 years’ experience in the general practice of law with exposure to and/or familiarity with the following areas of law:  state and federal franchise laws, business transactions, litigation, risk management, insurance, real estate, trademarks, employment law and corporate governance.
