SVP, Associate General Counsel

This is a senior role responsible for supporting the legal, regulatory, governance and compliance functions of the Fortitude Re Group of Companies (the "Group"). This position is a direct report to the Group General Counsel and will be based in our Jersey City, NJ office on a hybrid basis.Β 

What You Will Do:

Provide advice and guidance to business and functions across the organization, including in the areas of:

Transactional

  • Structure, negotiate and draft contracts including bespoke M&A and (re)insurance transactions and agreements ancillary thereto for life & annuity and property & casualty (re)insurance business lines
  • Draft, negotiate and advise on commercial transactions, including financing and general corporate contracts
  • Advise on transaction structure options, taking into account legal, regulatory and rating agency considerations
  • Advise on corporate and legal entity expansion and restructuring options

Regulatory & Governance

  • Establish and oversee processes to secure and maintain legal entity regulatory compliance
  • Represent Group’s interests through participation in applicable industry and trade organizations
  • Support preparation of board materials and board meeting approach and strategies

What You Will Have:

  • Minimum of 7 years of relevant experience with a highly recognized law firm or as a senior in-house counsel
  • Significant experience with the insurance and reinsurance business, including legacy or other closed block portfolios in both life & annuity
  • Experience interacting with board of directors and board committees
  • Experience interacting with regulators and rating agencies
  • Proven effective communicator, demonstrating flexibility to adapt to different audiences
  • Demonstrated experience as a change agent, driving innovative and effective approaches to problem solving
  • Demonstrated commitment to excellence in the provision of legal and compliance advice
  • Strong analytic and problem-solving skills
