OpenGov is seeking a dynamic and experienced attorney to join our Legal Team! Reporting to the Associate General Counsel, Commercial & Employment, the Sr. Corporate Counsel will play a key role in driving business success by drafting and negotiating a variety of commercial technology agreements, managing risk, and supporting M&A activity. This position involves close collaboration with cross-functional teams, including Sales, Security, and Revenue Operations, in a fast-paced and innovative environment. The role offers significant opportunities to impact OpenGov’s growth and help scale our legal infrastructure to meet evolving business needs.Β Β 

Responsibilities:

    • Lead Contract Negotiations: Drive strategic and efficient negotiations for SaaS subscription, professional services, vendor, and partnership agreements with a focus on relationship building.
    • Stakeholder Collaboration: Develop strong cross-functional relationships, acting as a trusted legal advisor to support company initiatives and developing creative solutions for complex business needs.
    • Provide Legal Guidance: Advise on key legal matters, including data privacy, intellectual property, compliance, and procurement, to ensure business operations align with applicable laws and policies.
    • Improve Legal Processes: Continuously refine contract templates, agreements, and legal operations to enhance scalability and efficiency.
    • Mergers & Acquisitions Support: Assist in due diligence and legal review of potential acquisitions.
    • Risk Management: Identify, assess, and mitigate risks by conducting thorough reviews and analyses of agreements and policies.

Requirements and Preferred Experience:

    • J.D. degree from an ABA-accredited law school; active membership in at least one U.S. state bar.Β 
    • 9+ years of hands-on generalist experience.Β 
    • Expertise in drafting and negotiating SaaS agreements.Β 
    • Preferred experience includes: government procurement, employment law, product counseling, and data privacy.Β 
    • Exceptional leadership, communication, and stakeholder management abilities.
    • Ability to exercise independent judgment and evaluate unique business challenges with creative solutions.
    • Collaborative mindset with a commitment to cross-functional teamwork.
    • High level of integrity, business ethics, and a strong work ethic.

$180,000 - $205,000 a year
On target ranges above include base plus a portion of variable compensation that is earned based on company and individual performance.

The final compensation will be determined by a number of factors such as qualifications, expertise, and the candidate’s geographical location.
