Responsibilities
- Contract Management & Negotiation:
- Draft, review, and negotiate a wide range of commercial contracts, including but not limited to:
- Customer contracts (e.g., commercial, federal, state, local) including RFPs, RFIs, teaming agreements
- Vendor and supplier agreements (e.g., service agreements, software licenses, SaaS agreements, consulting agreements)
- Licensing agreements (intellectual property, software, technology)
- Distribution and supply agreements
- Subcontracts
- Proactively identify and mitigate legal and commercial risks associated with all contractual arrangements.
- Advise business units on contract interpretation, compliance, and enforcement.
- Litigation & Dispute Resolution:
- Manage and support the company's litigation and dispute resolution efforts, including employment, labor, and workers' compensation matters.
- Provide legal counsel and guidance on all aspects of litigation, including discovery, motion practice, and trial preparation.
- Explore and implement alternative dispute resolution methods, such as mediation and arbitration.
- Corporate Governance & Compliance:
- Advise on and support all aspects of corporate governance, including:
- Preparation of corporate documents (e.g., board resolutions, minutes of meetings, unanimous written consents)
- Ensuring compliance with all applicable laws and regulations (e.g., corporate governance laws, securities laws)
- Conduct legal research and provide guidance on a wide range of legal and business issues.
- Assist in developing and implementing internal policies and procedures to minimize legal risk.
- Monitor and advise on legal and regulatory developments that may impact the company.
- Other Legal Matters:
- Provide legal support on a wide range of other legal matters as needed, including intellectual property, data privacy, and cybersecurity.
Qualifications
- Juris Doctor (J.D.) degree from an accredited law school.
- Minimum of 10 years of relevant legal experience, preferably with a focus on commercial contracts, corporate law, and litigation.
- State and/or federal contracting experience.
- Admitted to practice law in good standing in at least one state.
- Strong analytical and problem-solving skills with the ability to identify and assess legal and commercial risks.
- Excellent written and verbal communication, negotiation, and interpersonal skills.
- Ability to work independently and as part of a team.
- Strong organizational and time-management skills with the ability to manage multiple projects and deadlines effectively.
