Title: Associate General Counsel
Summary of Role
As Associate General Counsel at Command Alkon, you will work closely with the General Counsel and other members of the Legal Team to manage diverse legal matters for an established global organization. You will play a critical role in supporting employees, customers, and the overall success of the Company by implementing innovative and collaborative solutions and guidance. Your work will prioritize risk mitigation, cost containment, productivity enhancement, and operational consistency across internal and external stakeholders. This position offers a broad scope of corporate responsibilities, ranging from corporate compliance to M&A activities, allowing you to make a tangible impact across the organization.
How You’ll Succeed
-Oversee company equity programs including executing equity grants and redemptions and liaise with private equity sponsors as needed
-Maintain and ensure corporate entity compliance of 26 entities in 11 global jurisdictions with the support of a corporate paralegal
-Support M&A and partnership activities
-Coordinate with outside counsel to support the People Team regarding Labor & Employment matters both internationally and domestic including hiring, terminations, redundancies, disciplinary actions, compliance training, and employment related policies and handbooks
-Support the Finance Team in FATCA/Ultimate Beneficial Owner queries on a worldwide basis, credit agreement compliance, and intercompany agreements
-Prepare Board consents and materials
-Assist the Legal Team’s internal contract counsel as-needed in negotiating high-value customer and vendor agreements
-Maintain complex capitalization table with the support of a corporate paralegal
-Generate or update a wide variety of forms and template agreements as-needed
-Support international offices and ensure functional alignment between the Legal Team and all geographic locations
-Assist in selecting preferred law firms with appropriate expertise at reasonable fees
-A variety of other projects and responsibilities as-needed, including special projects as assigned by the General Counsel
What You Bring
-Licensed to practice law and a member in good standing of at least one U.S. state bar
-5 to 10+ years of experience as a practicing legal professional in a law firm or as in-house counsel
-Business acumen and pragmatic approach to risk management with a focus on delivering efficient, pragmatic, risk-balanced legal services
-Core legal training and expertise and ability to perform legal tasks largely independently with strong drafting skills
-Attention to detail with strong organizational skills
-Effective time and energy management and ability to prioritize highest-value activities and multiple projects
-Effective and compelling communication skills both oratory and written
-A proactive, driven, and adaptable professional, with poise and patience
-A problem solver and sound decision maker with ability to recalibrate advice in view of shifting priorities, legal developments, and risk tolerance

-Experience with private equity backed companies a plus but not a requirement
